Promoters Terms and Conditions

This text is the CONTRACT that governs the relationship between JustDo, Inc. (“we”, “us”), and You (the Promoter) in the context of JustDo’s Q3-19 Promotion Program as defined below. Read this document carefully as it lists the rights and obligations of both parties. By accepting the terms below, you also accept JustDo’s general Terms and Conditions agreement.

Introduction.
This program is designed to provide financial incentives to individuals who are willing to study JustDo’s services and capabilities, and then promote JustDo by introducing it to various groups and parties and helping those parties to become satisfied users of JustDo.
Your success, and your eligibility to rewards is based on creating one or more groups of JustDo users that collaborate between themselves using JustDo’s platform. We call such groups of users Clusters.
Definitions.
1. A User - is an individual who has registered and uses JustDo.
2. A Task - for convenience sake we name action items, service tickets, clients lists, features requests or others - in the context of JustDo and this document - Tasks.
3. A Task Update - an operation that updated the information associated with the Task. This could be an update to the status of the Task, a new chat message, an update to other fields of the Task record, etc.
4. Users Collaboration -
  1. Users Collaboration is measured and recorded on a daily basis at 00:00 GMT
  2. At the recording time, an automated script cycle through all the Tasks in the system. For each of those Tasks, it finds how many Users performed a Task Update for that Task within the last 7 days. If it finds two or more such Users, it records that those Users collaborated on the Task.
5. A JustDo - is a list of Tasks grouped together within JustDo’s services.
6. A Cluster - A Cluster is a list of Users who Collaborated with each other within a group of Tasks within a JustDo.
  
  For example, for a JustDo with tasks Task1, Task2, Task3, and Task4, where the following Collaboration took place:
  - on Task1 User1 collaborated with User2 and User3
  - on Task2 User1 collaborated with User4
  - on Task3 User2 collaborated with User5
  - on Task4 User6 collaborated with User7
  We get two clusters, one with Users1,2,3,4 & 5 and one with Users6 and 7.

7. Cluster Size - the number of Users within a Cluster
8. Cluster Date - the date on which the Collaboration of users within the Cluster was measured.
9. A Promoter - A User who signed in to participate in this Promoters Program, subject to the following Terms:
  1. The User was approved to be a Promoter by us.
10. Claimed User - A User is called A Claimed User and is associated with a single Promoter under the following conditions:
  1. The Promoter listed this User’s email address under his private list of Claimed Users not earlier than 7 days prior to the User’s registration to JustDo, and not later than 30 days after the User’s registration to Justdo.
  2. A Promoter can only claim users that are not listed on any other Promoter’s list of Claimed Users.
  3. If the User arrived to JustDo’s landing page for the first time as a result of a Promoter’s campaign, and a Promoter’s campaign key is part of the URL the User was getting to, the User will be listed as Claimed by the Promoter who created the campaign key.
11. Claimed User Timestamp - (applicable only to Claimed Users) The time in which the Promoter listed a User in his list of Claimed Users. Otherwise, the time in which the User arrived to JustDo’s landing page with a Promoter’s campaign key.
12. Cluster Ownership - A Cluster is said to be owned by a Promoter if one or more of the Cluster’s Users is a Claimed User of the Promoter, under the following conditions:
  1. In case where two or more Users of the Clusters are claimed by two or more Promoters, the Cluster Ownership will be associated with the Promoter of the User with the earliest Claimed User Timestamp
  2. The JustDo which the Cluster belongs to was created not earlier than 7 days prior to the relevant Claimed User Timestamp and not later than 30 days after the first Claimed User Timestamp.
Q3-19 Rewards Program.
Promoters registered to this program will be rewarded according to the following terms:
1. To get rewarded, you must maintain a Cluster Ownership for 30 consecutives days within a single JustDo. Doing so will provide the following rewards tiers:
  1. For 30 days of Clusters of size 5 and above we will award you $150
  2. For 30 days of Clusters of size 10 and above we will award you $1,000
  3. For 30 days of Clusters of size 25 and above we will award you $2,000
  4. For 30 days of Clusters of size 50 and above we will award you $3,000
2. A certain tier of rewards is rewardable only once per JustDo.
3. In order to get a reward, the rewarded cluster should have at least 80% of its users distinct from previously rewarded clusters of the same size (in any JustDo).
4. In order to get rewarded for any cluster tier, the tier should be achieved within 90 days from the creation of the JustDo.
5. In order to be eligible for a reward, a cluster must be used for a legitimate business activity.
6. Once a certain award tier is met and paid, and later a higher reward tier is reached, the awarded amount will be adjusted and a payment will be made for the balance.
  For example if on day 40 from the creation of a JustDo a 30 days of size 5 cluster was awarded and $150 were paid, and on day 55 from the creation of the same JustDo a 30 days of size 10 cluster were identified, then the reward will be adjusted to $1,000 and the balance ($850) will be paid.
7. Rewarded Quota: Every promoter, can be rewarded for up to 3 JustDos. For more JustDos eligibility, written permission from JustDo, Inc. is required.
8. Special Bonus - if any of the Claimed Users that are associated with you as a Promoter becomes a Promoter of this program himself, you will get a special bonus of 10% of the amount(s) paid to this user under this program.
Payments.
1. Once a rewardable tier is reached you will be notified by email.
2. Payment will be made within 30 days from the date of achieving a rewardable tier.
3. Payment will be made by PayPal only. In order to get rewarded and collect your award(s) you must have a PayPal account.
Requirements From Promoters.
1. Do any of the followings:
  1. Approach your personal network of friends and colleagues for which you believe JustDo has a good fit with. Show them how JustDo works, and how it can benefit them.
  2. Promote JustDo on your social media channels.
  3. Place referral links in any kind of a review or vendor comparison that reflects your opinion.
  4. Login to your Promoter Console to check the status of teams on boarded and earned rewards.
  5. Ask for support and best practices. We are here for you. info@justdo.com
2. Do not do any of the following:
  1. Place a referral link on any deal sites, coupons, adult and dating sites or any site which promotes illegal content.
  2. Promote JustDo on any pay-per-click advertising provided by search engine.
  3. Use the word 'JustDo' in your domain/personal branding.
  4. Send your referral links in unsolicited mass email.
3. A Promoter can’t be a competitor of JustDo, or associated with a competitor of JustDo in any form.
4. In order to participate in this program, you can’t be a citizen of, or associated with, countries or organizations of which the US law sanctions, embargos or prohibits trading with.

Notices must be addressed as follows: if to us, to info@justdo.com. If to you, to the contact name and address or email address that you have provided us.
Miscellaneous.
1. Every Promoter must be approved by JustDo, Inc., before he can claim users or generate campaign keys.
2. JustDo reserves the right to approve or not approve any applicant in its own discretion, with or without cause.
Term and Termination.
1. This Q3-19 Promotion Program will be open for registering Promoters and claiming users from September 1st 2019 and till November 30th 2019, and may be extended from time to time by JustDo, Inc.
2. JustDo reserves the right to terminate this agreement at any time in case you breach any of the terms listed here.
3. You may terminate this agreement at any time by writing to us at info@justdo.com
4. Upon Termination of any sort, the requirements listed under section 4.b will remain in effect.
General.
This Agreement has been written in the English language, and you agree that the English language version will govern your this Agreement. Neither party is liable for delay or default under this Agreement if caused by conditions beyond its reasonable control (e.g., technology malfunctions or acts of God). This Agreement is governed by the internal laws of the State of Delaware, without regard to its conflicts of law rules, and each party hereby consents to exclusive jurisdiction and venue in the state and federal courts located in Wilmington, Delaware for any dispute arising out of this Agreement. Either party may assign this Agreement in connection with a merger or similar transaction, or to any third party acquiring all or substantially all of such party’s assets or equity securities, without any requirement to obtain permission for such assignment; otherwise, neither party may assign this Agreement to a third party without the written consent of the other party in advance. This Agreement will bind and benefit the parties, their successors, and their permitted assigns. Each party is an independent contractor to (and may not act on behalf of or bind) the other.
Entire Agreement.
This Agreement represents the entire agreement between JustDo and you with respect to Q3-19 Promotions Program and the related matters set forth in this Agreement.

If you are not satisfied with the listed above, do not proceed with the contracting process, given that such conditions will be applicable in all cases.
